Edwards + Co Legal was continuously retained by Valtech for corporate transactional and day-to-day commercial matters, from 2012 until its exit from the Australian market during the COVID pandemic. Amongst the many corporate and commercial matters we advised the Valtech Group on are:

• Negotiation and documentation of the successful 100% acquisition of the shares of Australian and Swedish entities of digital services agency, Neon Stingray Digital Services;
• Working with international offices to design locally and globally compliant standard forms of Master Services Agreement and Statement of Work for large-scale, complex, enterprise-grade software design and development;
• Successful negotiation and documentation of dozens of MSAs and SOWs with major clients over a 6-year period, including negotiation and settlement of complex project delivery and support matters;
• Ongoing commercial and corporate advisory on all day-to-day business critical issues, including human-resources and major procurement projects;
• Preparation and implementation of training program with respect to corporate governance, taking into account local Australian legal requirements, and requirements as part of a global group of companies; and
• Negotiation and documentation of the sale of the Australian business to an Australian acquirer, and associated wind up arrangements for the Australian entity and operations.
